两个月后，该外企境外投资协议注资到款时间已到，仍未获得批复，便只好以美元完成是项投资。
这类情况将不再发生。
1月13日傍晚，央行发布今年1号文件《境外直接投资人民币结算试点管理办法》（下称“《办法》”），跨境贸易人民币结算试点地区的银行和企业开展境外直投人民币结算试点开闸。
“以后境外直投可以不用个案审批了。”当日，前述外企相关负责人和贷款行的相关人士对记者感叹。
《办法》是跨境人民币业务推出后，首个专门针对资本和金融项目项下的文件。
兴业银行资深经济学家鲁政委认为。《办法》和日前上海推出的QFLP试点政策意图一致，都是逐步放松资本项目项下的流入或流出。从内容上看，政策都是审慎和可控的。
谨慎便利化
境外直投，是指境内机构经境外直投主管部门核准，使用人民币资金通过设立、并购、参股等方式在境外设立或取得企业或项目全部或部分所有权、控制权或经营管理权等权益的行为。
根据《办法》，境内机构应当先到所在地外汇局，办理前期费用汇出或境外直接投资登记手续，然后到银行办理境外直投人民币资金汇出或前期费用人民币资金汇出。银行应要求境内机构提交境外直投主管部门的核准证书或文件等相关材料审核。
一位国有银行上海分行国际部负责人认为，虽然《办法》鼓励境内机构境外直投，但依然谨慎，并没有放松到让银行审批的日常管理阶段。
从《办法》其他规定来看，外管局对人民币的外投流出，也较审慎。鲁政委认为，虽然央行没有明确用额度来控制境外直投的规模，但无形的控制仍是先期试点的应有之义。
比如，境内机构是指在跨境贸易人民币结算试点地区内登记注册的非金融企业，目前虽然试点企业数量增加到67359家，仍非全部。
在资金流程控制上，《办法》称，银行可以为境内机构办理境外直投人民币前期费用汇出，但累计汇出的前期费用原则上不得超过其申报的中方投资总额的15%。另外，自汇出人民币前期费用之日起6个月内仍未获得境外主管部门核准的，应当将剩余资金调回原汇出资金的境内人民币账户。
《办法》的一个突破在于，“境内机构可以将其所得的境外直接投资利润以人民币汇回境内”，并没有出现强制汇回的字眼。
同时与美元项下境外直投相似，央行允许银行向境内机构在境外投资的企业或项目发放人民币贷款。通过银行境外分行或境外代理银行发放人民币贷款的，还可以向其境外分行调拨人民币或向境外代理银行融出人民币。以香港为例，内地银行的香港分行或代理银行，可从内地取得人民币资金，向赴港投资的企业发放人民币贷款。
资本项目逐步放松
前述贷款行人士透露，人民币项下的资本项目，除了境内机构的境外直投外，还包括间接投资、股东借款等多种方式。估计随着跨境人民币业务的推进，其他资本金融项目的管制也会放松。
由于境外直投多以大央企和跨国公司为主，且国内企业多以香港为中转平台，《办法》出台后，香港金管局总裁陈德霖当日表示热烈欢迎。
2008及2009年，内地企业的对外直接投资总额分别为559亿美元和565亿美元，其中69%（即386亿美元）和63%（即356亿美元）是投资到香港或经香港投资到全球各地。

不过，鲁政委认为，人民币境外直投在境外的接受程度还有待考验。
